PRODUCT LICENSING & DIGITAL USE POLICY

Health & Wealth Digital (“HWD”) products are proprietary commercial resources licensed for use under the license level selected and purchased by the customer.

HWD products are licensed, not sold. Purchasing an HWD product does not transfer ownership of the product or HWD intellectual property to the purchaser.

PURCHASE CONSTITUTES ACCEPTANCE

By purchasing any product from the Health & Wealth Digital website, the purchaser agrees to be bound by this Product Licensing & Digital Use Policy and by the terms of the license level selected for that purchase.

Purchase, payment, receipt, digital delivery, access, download, opening, printing, retention, or use of an HWD product constitutes acceptance of the applicable licensing terms to the extent permitted by applicable law.

No handwritten agreement, signature, countersignature, or separately completed license form is required.

The applicable HWD/Shopify transaction and order record establishes the purchasing customer or organization, product purchased, license level selected, price paid, purchase date, and transaction associated with the license.

The license applies only to the HWD product purchased in that transaction. Purchase of one HWD product does not grant rights to any other HWD product.

HWD LICENSE LEVELS

HWD products may be offered under one or more license levels. The license level selected and purchased with the applicable product determines the purchaser’s authorized use.

SINGLE-SITE BUSINESS LICENSE

The Single-Site Business License permits one purchasing legal organization to use the purchased HWD product for its own internal business purposes for one facility or location.

Authorized owners, officers, employees, and retained professional advisers may access the product as reasonably necessary to perform work for the purchasing organization and licensed location.

Reasonable internal working copies, printed copies, archival copies, and backup copies may be maintained for the licensed location.

The purchaser may enter its own business or facility information into editable HWD tools and make reasonable project-specific working adaptations necessary for authorized use.

The Single-Site Business License does not cover a second facility or location, unrelated organization, franchisee, client, third-party operator, or other business.

Use of the product for an additional facility or location requires the purchase of an additional applicable HWD license unless HWD expressly authorizes otherwise in writing.

MULTI-SITE BUSINESS LICENSE

The Multi-Site Business License permits one purchasing legal organization to use the purchased HWD product for its own internal business purposes for up to three commonly owned or controlled facility locations.

Authorized owners, officers, employees, and retained professional advisers may access the product as reasonably necessary to perform work for the covered locations.

Separate internal working copies may be maintained for each covered facility or location.

Reasonable internal printed, archival, backup, and location-specific working copies and adaptations are permitted.

A facility or location is counted toward the license when the purchased HWD product is materially used for that facility or location.

Affiliates, unrelated entities, franchisees, clients, and third-party operators are not covered merely because they share management, branding, ownership interests, vendors, contractual relationships, or other business relationships with the purchaser.

Use beyond three covered facility locations requires an additional applicable HWD license or a separate enterprise agreement with HWD.

COMMERCIAL / PROFESSIONAL LICENSE

The Commercial / Professional License permits one professional, consulting, advisory, or similar organization to use the purchased HWD product as an internal professional resource in paid professional work for up to five client-facility engagements.

A client-facility engagement means material professional use of the purchased HWD product for one client facility or location.

Separate client facilities or locations count as separate engagements.

Continued work, revisions, or follow-up work for the same client facility under the same project do not create additional engagements merely because the work occurs on multiple dates.

After five client-facility engagements, an additional Commercial / Professional License or separate enterprise agreement with HWD is required before the product may be used for another client-facility engagement.

CLIENT-SPECIFIC FINISHED WORK PRODUCT

Commercial / Professional License holders may create and deliver legitimate client-specific finished work product resulting from an authorized professional engagement.

This may include project-specific analyses, completed outputs, recommendations, schedules, summaries, customized implementation materials, or other client-specific deliverables reasonably necessary for the professional engagement.

This permission does not authorize delivery or transfer of the underlying HWD product or system.

Clients may not receive, access, download, possess, or be provided with the underlying HWD source files, complete master documents, complete master workbooks, reusable master templates, source-system architecture, substantially reproducible copies, or other reusable HWD intellectual property.

A client-specific deliverable may not function as a substitute for the HWD product or enable the client to reconstruct or independently reuse the underlying HWD system.

The Commercial / Professional License does not authorize resale, white-label resale, sublicensing, redistribution, publication, or transfer of HWD products.

A client requiring its own reusable copy of an HWD product must obtain the appropriate HWD license.

OWNERSHIP AND INTELLECTUAL PROPERTY

Except for government, public-domain, licensed third-party, or other materials that remain subject to their respective ownership and legal status, HWD retains all applicable right, title, and interest in its Licensed Materials.

This includes HWD’s protectable original content, written explanations, organization, compilation, instructional architecture, implementation systems, tables, tools, workbook structures, formulas, methods, formatting, graphics, branding, and other original intellectual property.

Government statutes, regulations, forms, guidance, and other public materials referenced or incorporated within an HWD product remain subject to their respective legal status. HWD does not claim proprietary ownership merely because such materials are cited, summarized, organized, linked, or lawfully incorporated into an HWD product.

HWD retains its applicable rights in its original selection, arrangement, explanation, annotations, implementation architecture, tools, and other protectable expression.

Purchasing an HWD product grants only the usage rights expressly provided by the license level purchased.

No HWD product or intellectual-property ownership is transferred to the purchaser.

PROHIBITED USES

Except where expressly permitted by the applicable license, purchasers may not:

  • Sell, resell, rent, lease, sublicense, assign, transfer, donate, publish, post, upload, redistribute, or otherwise provide an HWD product to an unauthorized person or organization.
  • Share HWD source files, editable master files, download links, access credentials, cloud folders, or substantially reproducible copies with unauthorized persons.
  • Place HWD products in shared repositories, membership libraries, courses, template libraries, marketplaces, resource portals, document libraries, AI training datasets, or other systems through which unauthorized persons may retrieve, reproduce, or reuse them.
  • Remove or obscure HWD copyright or licensing notices for the purpose of concealing the source or ownership of the materials.
  • Represent HWD products as government-issued, government-certified, or government-endorsed unless an official governmental source independently establishes such status.
  • Use HWD products to create, manufacture, market, sell, license, or distribute a competing reusable commercial product that substitutes for or substantially reproduces an HWD product.
  • Circumvent the organization, facility, location, client-engagement, user, or other usage limitations associated with the license level purchased.

Changing the file format, layout, wording, organization, branding, appearance, or delivery method of HWD materials does not eliminate HWD’s underlying intellectual-property rights or expand the purchaser’s license.

AUTHORIZED MODIFICATION AND PROJECT-SPECIFIC USE

Purchasers may make reasonable working edits, annotations, entries, calculations, extracts, and project-specific adaptations necessary for authorized use of the purchased HWD product within the scope of the applicable license.

Such modification does not transfer ownership of the underlying HWD materials.

Modification does not authorize the purchaser to create, distribute, sell, sublicense, publish, or otherwise provide a reusable derivative product that substitutes for, substantially reproduces, or competes with the original HWD product.

Reformatting, converting, extracting, editing, or removing branding from HWD material does not circumvent these restrictions.

REGULATORY AND PROFESSIONAL DISCLAIMER

HWD products are commercial educational, business, operational, planning, implementation, financial-modeling, and/or regulatory-navigation resources, depending upon the particular product purchased.

Unless expressly stated otherwise, HWD products do not constitute legal, medical, accounting, architectural, engineering, tax, investment, or other licensed professional advice.

HWD products do not guarantee licensure, regulatory approval, accreditation, financing, profitability, business performance, inspection or survey outcomes, or any other regulatory or commercial result.

Laws, regulations, forms, agency interpretations, fees, local requirements, professional standards, and other requirements may change.

Purchasers remain responsible for verifying requirements applicable to their particular business, organization, jurisdiction, facility, project, and circumstances and for obtaining qualified professional advice when appropriate.

NO GOVERNMENT AFFILIATION OR ENDORSEMENT

Health & Wealth Digital is an independent commercial business and publisher.

HWD is not a government agency.

References within HWD products to government agencies, statutes, regulations, rules, forms, licensing authorities, regulatory standards, or other governmental resources are provided for informational, research, regulatory-navigation, and implementation purposes.

Such references do not imply governmental sponsorship, certification, approval, affiliation, or endorsement of Health & Wealth Digital or its products.

FUTURE UPDATES AND SUPPORT

Unless expressly included in the applicable product description, purchase terms, or separate written agreement, purchase of an HWD product does not create an obligation for HWD to provide future regulatory monitoring, updated editions, revisions, consulting, customization, technical support, or professional services.

The purchaser is responsible for reviewing the specific product description to determine what deliverables, updates, support, or additional services are included with a purchase.

BREACH AND TERMINATION

Material violation of the applicable licensing terms may result in termination of the purchaser’s license.

Unauthorized sharing, resale, redistribution, sublicensing, transfer, systematic reproduction, competitive reproduction, or use beyond the purchased license scope may result in termination and enforcement of HWD’s contractual and intellectual-property rights.

Following termination, unauthorized use must cease, and unauthorized copies must be deleted or destroyed where legally permissible and reasonably practicable.

Termination does not eliminate obligations or restrictions concerning HWD ownership, copyright, intellectual property, unauthorized redistribution, derivative use, accrued obligations, or other provisions that by their nature survive termination.

LICENSE VERIFICATION

The applicable HWD/Shopify transaction and order record serves as the primary record of the purchaser, product purchased, license level selected, price paid, and purchase date.

If HWD has a reasonable, good-faith basis to believe that a product is being used beyond the scope of the purchased license, HWD may request reasonably sufficient information necessary to verify the number of covered locations or client-facility engagements.

This provision does not provide HWD with a general right to audit unrelated purchaser business records.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Health & Wealth Digital will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits or revenue; business interruption; project delays; regulatory or licensing outcomes; loss of financing; or loss of data arising from or relating to the purchase or use of an HWD product.

To the maximum extent permitted by applicable law, HWD’s aggregate liability arising from a particular purchase will not exceed the amount actually paid to HWD for the product and license giving rise to the claim.

Nothing in this policy excludes or limits liability that cannot lawfully be excluded or limited.

ELECTRONIC PURCHASE AND ACCEPTANCE

By completing a purchase anywhere on the Health & Wealth Digital website, the purchaser acknowledges that they have reviewed, accepted, and agreed to the licensing and use terms applicable to that purchase.

Electronic purchase, checkout acceptance, payment, transaction records, digital delivery, receipt, access, download, opening, printing, retention, or use may evidence acceptance of these terms to the extent permitted by applicable law.

No physical signature, handwritten agreement, countersignature, or separately completed license form is required.

An individual completing a purchase on behalf of a business or other organization represents that they are authorized to acquire the product and applicable license on behalf of that organization.

GOVERNING TERMS

This Product Licensing & Digital Use Policy, the applicable license level, the HWD/Shopify transaction and order record, and any additional terms expressly associated with the purchased product govern authorized use of HWD products.

Where HWD expressly enters into a separate written enterprise agreement or other specific written licensing agreement applicable to a transaction, that agreement controls to the extent of any direct conflict.

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable non-waivable law requires otherwise.

If any provision of these terms is determined to be unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

Failure by HWD to enforce a provision on one occasion does not constitute a waiver of its right to enforce that provision or any other provision in the future.
